Terms of Service Agreement


This Term of Service Agreement (the "Agreement") is between AltrueTECH LLC, a South Carolina corporation with its principal place of business at 1201 Carolina Pl Suite 102, Fort Mill, SC 29708 and ("Company"), and , an individual with his/her principal address at ("Client").

1. Acknowledgment of Risks: The Client acknowledges that the IT services and related activities provided by the Company may involve inherent risks and dangers that may lead to damage to equipment, loss of data, or other potential losses. The Client fully understands these risks and voluntarily accepts responsibility for participating in the use of the Company's services.

2. Waiver and Release: The Client hereby releases, waives, discharges, and covenants not to sue the Company or its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, "Releasees") from any and all liabilities, claims, demands, losses, or damages on account of any injury, including death, damage to property, or other harm that may result from the Client's use of the IT services provided by the Company, whether caused by the negligence of the Releasees or otherwise.

3. Indemnification: The Client agrees to indemnify and hold harmless the Releasees from any and all claims, actions, suits, procedures, costs, expenses, damages, and liabilities, including attorney's fees, brought as a result of the Client's involvement in the IT services and to reimburse them for any such expenses incurred.

4. Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.

5. Acknowledgment: The Client has read this Agreement, fully understands its terms, and understands that they are giving up substantial rights, including their right to sue. The Client acknowledges that they are signing the Agreement freely and voluntarily, and intend by their signature to be a complete and unconditional release of all liability to the greatest extent allowed by law.

6. Acceptance of Terms: By accessing or using our Services, you agree to be bound by these Terms and all terms incorporated by reference. If you do not agree to all of these terms, do not use our Services.

7. Services Provided: We provide a range of IT services, including but not limited to Information Technology design, installation, and management; and all related hardware and software. We reserve the right to modify or discontinue any of our Services at any time without notice.

8. Disclaimer of Warranties: Our Services are provided "as is" without warranty of any kind, either express or implied.

9. Governing Law: These Terms shall be governed by the laws of the state of South Carolina, Lancaster County, without regard to its conflict of laws principles.

10. Changes to Terms: We reserve the right to modify these Terms at any time.

11. Hourly Billing: All labor is billed hourly at $185/hr. subject to at least a 1-hour minimum, unless otherwise agreed to. After Hours work 5:00 p.m. to 9:00 a.m., including Federal Holidays, and the week at Christmas are billed at $370/hr with a 2-hour minimum. Because of the nature of technology support and troubleshooting there is no guarantee of results, and all work is billed based on time spent installing, maintain, troubleshooting, etc. plus reasonable time for office administration for documenting, billing, etc. This rate is subject to change without notice.

12. Payment: Payment is due immediately upon completion. Preferred payment methods are cash, check, or ACH. Credit Cards require a 3.5% surcharge. Late payments will be charged 2% per month late, or maximum applicable by law.

13. Recurring Services: All recurring services are billed in advanced on the 1st of the month. Payment is required to be on file, and payments will be drafted on the 5th of the month. If payment is not made by the 14th all services including resold services will be suspended.
